    • in connection with the US$2 billion sale of its 55% stake in Tele2 Russia to Rostelecom, the Russian telecom giant, and further acquisition of up to 30% of the shares of Rostelecom;

    • the acquisition of a major stake in Vozrozhdenie Bank;

  • VTB Capital:

    • acting as financial adviser to the seller, RZD-Infrastructure Projects (subsidiary of Russian Railways), in connection with its sale of a stake in Sukhodol, a major seaport in the Russian Far East, and the refinancing of the Russian Railways loan to Sukhodol;

    • a US$250 million investment in a Russian online cinema platform, Ivi.ru, including advising VTB Capital and its co-investors, Millhouse and Invest AG, with respect to due diligence;

    • acting as financial adviser and auction manager to UTLC (a subsidiary of Russian Railways) in the US$968 million sale of a 50% + 2 shares stake in the charter capital of PJSC Transcontainer via an auction process;

    • acting as financial adviser to Russian Railways (seller) in the US$153.56 million auction sale of 100% minus one share in the charter capital of JSC VRK-2, the Russia based provider of rail car and wagon repair services;

    • in connection with the acquisition of a stake in Russian Fitness Group, the largest fitness club operator in Russia, trading under the World Class, World Class LITE and FizKult brands;

  • X5 Retail Group in connection with:

    • the acquisition of the supermarket business from O'KEY, one of the largest retail chains in Russia;

    • the acquisition of 100% of the shares in SPAR Retail from A&NN Group;

    • the acquisition of 100 stores owned by the Sosedushka retail chain in Orenburg and the Orenburg region.

  • Rostelecom on:

    • the acquisition of DataLine, a leading Russian data centre services provider, for approximately US$280 million;

    • the acquisition of the internet service provider Freshtel.

  • TeliaSonera, a Swedish telecommunications company and shareholder of OJSC MegaFon, on the acquisition by MegaFon of an operator of wireless Internet access services "Skartel" (Yota) from Alisher Usmanov’s "Garsdale" company for US$1.18 billion;

  • Rosneft in connection with the acquisition of GAZEX Group, the largest gas distribution company in the Urals;

  • Baring Vostok Capital Partners in connection with the acquisition of the Viasat Russian-language TV channels from Modern Times Group, including on intellectual property matters;

  • INARKTIKA in connection with:

    • the sale of three smolt plants in Norway;

    • the sale of 100% of the shares in Russian Fish Company, distributor of chilled and frozen fish and seafood;

  • a leading company in its sector in relation to a number of potential transactions for the acquisition of competitors in connection with withdrawal of their controlling foreign shareholders from the Russian market, including preparation of a binding offer under English law;

  • a foreign company in connection with the sale of an office real estate business;

  • a leading industrial company in connection with the sale of foreign assets;

  • a VC fund with offices in Moscow and London in connection with the sale of IT assets to a strategic investor;

  • O1 Group, an international private equity firm, in connection with the sale of O1 Properties and NPF Future;

  • Kazzinc Limited, the largest producer of zinc in Kazakhstan, on the acquisition of the Zhairem Mining Plant from ENRC;

  • Elbrus Capital Fund on a number of projects, including divestiture of a business;

  • Yandex in connection with acquisition of a vehicle holding the majority of the complex of buildings in the Red Rose Business District from KR Properties in exchange for 12.9 million Yandex Class "A" ordinary shares;

  • SIBUR Holding in connection with:

    • the disposal of a 40% interest in Amur Gas Chemical Complex to China Petroleum & Chemical Corporation (Sinopec), China's leading energy and chemical company, and the formation of the associated JV (US$9.1 billion project);

    • transferring the joint IT function of SIBUR and its partner to an international provider;

  • a leading transport and logistics company on a series of transactions in connection with the restructuring of its share capital;

  • VTB Group on the acquisition of a 30% stake in Rostelecom;

  • Rostelecom in connection with:

    • the acquisition of a controlling stake in SafeData, a Russian provider of commercial data centre services, to develop a national content storage and distribution network;

    • the disposal of a 44.8% stake in SafeData, the largest data centre operator in Russia, to VTB Bank for RUB 35 billion;

    • the acquisition of 75% of the developer of the Sailfish mobile operating system;

  • Sberbank Group in connection with:

    • the acquisition (with co-investors) of a 75% stake in Prosveshcheniye, the largest brand in the educational books market in Russia. The deal is valued at approximately US$1 billion and represents a vital step toward digitalisation of the educational process in Russia;

    • the acquisition of a 75% interest in the charter capital of Yandex.Money, the Russian on-line payments service, and the establishment of the associated joint venture arrangements with Yandex NV;

    • the acquisition of a majority stake in a group of companies offering tools for the creation of websites (insales.ru) and the formation of the associated joint venture;

  • Magnitogorsk Iron & Steel Works in connection with a potential multi-billion joint venture;

  • Gazprombank on the acquisition of a stake in Elga Coal Group;

  • Naspers, a global internet and media holding company and one of the world's largest technology investors, on its US$1.2 billion investment in Avito;

  • Polyus in connection with:

    • the formation of a joint venture with private investors for the development of mineral deposits;

    • investments in a leading Russian developer of electrochemical solutions for the energy industry;

  • Myriad International Holdings (MIH), a subsidiary of the global Internet and media holding Naspers, in connection with the acquisition of an 18.6% stake in Avito;

  • on a sale of a stake in Itransition to a strategic investor;

  • an investment fund in connection with the acquisition of a stake in a broadcasting organisation;

  • Resource Capital Fund VII L.P., a US-based private equity fund, in its acquisition of a 35% indirect equity stake in RG Gold, a gold mining company based in Kazakhstan;

  • a Russian-Chinese Investment Fund and the investment company Mubadala in connection with the creation of a joint venture with UFC (Ultimate Fighting Championship) for the development and expansion of its business in the field of mixed martial arts (MMA) in Russia and the CIS countries;

  • Canon Medical Systems Corp., a specialist producer of medical equipment, in connection with the creation of a joint venture with the leading Russian provider of medical services "R-Pharm Holding" for the production of diagnostic equipment in nine CIS countries, including Russia;

  • Qatar Holding LLC, a strategic and direct investment division of Qatar Investment Authority, in connection with the acquisition of shares in VTB Bank with a value of US$500 million;

  • Summa Group on the acquisition of a 49% stake in JSC Far-Eastern Shipping Company (FESCO), as well as the subsequent sale of a minority stake in FESCO to TPG Capital;

  • Rosneft in connection with:

    • the potential liquidation of a minority shareholder of the Petromiranda JV;

    • preparation of transaction documents for the creation of two joint ventures with PDVSA for the processing and sale of natural gas in Venezuela;

  • Rosneft Brasil, a subsidiary of Rosneft, in connection with the acquisition of a 55% stake in the project for the development of 21 oil and gas fields located in the Solimões River Basin in the Amazon region of northern Brazil.
